Terms of Use

These Terms govern access to the BeWise website and the technology services we provide — including custom software, automations, AI integration, maintenance, and any digital tools or workspaces we operate for clients. By contacting us, entering a commercial engagement, or using our site or tools, you agree to these conditions and to the Privacy Policy.

Acceptance

If you do not agree to these Terms, do not use the BeWise website or services. If you act on behalf of a company, you represent that you have authority to bind that company to this agreement.

Who we are

BeWise (CNPJ 61.269.188/0001-62) is a B2B technology partner. We build systems from scratch, create automations, integrate advanced AI into existing stacks, and maintain software already in production.

Scope, timelines, fees, and deliverables for a specific engagement are defined in a proposal, statement of work, or contract between BeWise and the client.

Services and tools

Our core offering is professional technology services tailored to each client's demand. We may also provide access to digital products, workspaces, or platforms that support delivery, operations, or marketing workflows.

Features of any tool we operate may evolve, enter beta, or be discontinued with reasonable notice when the impact is material. Custom deliverables follow the commercial agreement.

Commercial engagements

Inquiries through the website or other channels do not create an obligation to provide services until both parties accept a written proposal or contract.

You are responsible for providing accurate information about your business, systems, and constraints so we can propose and deliver an appropriate solution.

Changes to scope after kickoff may affect timelines and fees as agreed in writing.

Accounts and workspaces

When we provide login access or API keys, you are responsible for keeping credentials confidential and for activity under those credentials.

Each client workspace should remain accessible only to authorized people. Use must comply with law, contracts with your end customers, and third-party platform policies.

We may suspend access if we suspect abuse, security risk, or a breach of these Terms or the commercial agreement.

Acceptable use

You may not use BeWise services or tools for: illegal activity; spam or fraud; infringement of intellectual property or third-party privacy; abusive reverse engineering; intentional infrastructure overload; attempts to access other clients' data; or publishing unlawful content or content that violates connected platform rules.

AI-assisted features should be used with appropriate human oversight — especially for customer communications and paid campaigns.

Intellectual property and deliverables

Unless a commercial agreement states otherwise: you retain rights to materials you provide (brand, content, data); BeWise retains rights to its pre-existing tools, frameworks, libraries, and know-how; and ownership or license of custom deliverables is defined in the engagement contract.

You grant BeWise a limited license to host, process, transmit, and display materials only as needed to provide the services.

AI-generated outputs may depend on your prompts, assets, and data; you are responsible for reviewing, editing, and approving those results before production use.

Integrations and third-party services

Connections to cloud providers, payment gateways, social networks, AI providers, and other partners are subject to those third parties' terms. BeWise does not control their availability, policies, or decisions.

Outages, API limits, policy changes, or rejections by third parties may affect delivery without, by themselves, constituting our breach.

Fees and payments

Fees, taxes, payment schedules, and currency are set out in the proposal or invoice for each engagement (or in the product pricing surface, when tools are billed separately).

Payments may be processed by partner gateways. Late or failed payment may result in suspension of services or access until resolved, as permitted by the commercial agreement and applicable law.

Availability and support

We work to deliver reliable services and keep operated tools available and secure, but website and platform features are provided “as available.” Maintenance, incidents, and external dependencies may cause temporary interruptions.

Support levels, SLAs, and response times — when applicable — are defined in the commercial agreement.

Disclaimers and limitation of liability

To the fullest extent permitted by law, BeWise does not guarantee specific business outcomes (revenue, conversions, or operational KPIs) or that AI outputs will be error-free without human review.

Except where law forbids it, BeWise's total liability for damages arising from an engagement or use of our tools is limited to the amounts you paid to BeWise for the relevant services in the twelve (12) months before the event giving rise to the claim — or the amount stated in the commercial agreement, if different.

Nothing in these Terms excludes liability for willful misconduct, gross negligence, or rights that cannot be waived under applicable law.

Termination

Either party may end an engagement according to the commercial agreement. You may stop using the website at any time.

We may terminate or restrict access for Terms violations, security risk, or legal requirements. After termination, rights to use tools end and data may be deleted per the Privacy Policy and the commercial agreement.

Governing law

These Terms are governed by the laws of the Federative Republic of Brazil. For consumer relationships when mandatory, the courts of the consumer's domicile apply; for B2B engagements, the parties may elect a competent forum in the commercial agreement or follow applicable procedural law.
